Effective Date: February 26th, 2025
Parties:
This Non-Disclosure Agreement (“Agreement”) is entered into by and between March Networks Corporation (“Disclosing Party”) and the individual or entity accepting this Agreement (“Recipient”).
Purpose:
The purpose of this Agreement is to allow the Recipient to access March Networks’ SOC 2 Type 2 Report (“Confidential Information”) solely for evaluating March Networks’ solutions.
1. Definition of Confidential Information:
Confidential Information refers to the SOC 2 Type 2 Report and any related information provided by March Networks to the Recipient.
2. Use of Confidential Information:
The Recipient agrees to use the Confidential Information exclusively for the purpose of assessing March Networks’ solutions as a current or potential customer.
3. Non-Disclosure:
The Recipient agrees not to disclose, share, or circulate the Confidential Information to any third party without the prior written consent of March Networks.
4. Confidentiality of Assessment:
The Recipient agrees that their assessment of March Networks’ solutions and the SOC 2 Type 2 Report shall remain confidential and shall not be disclosed to any third parties without the prior written consent of March Networks.
5. Protection of Confidential Information:
The Recipient shall take all reasonable measures to protect the confidentiality of the Confidential Information, at least as stringent as those used to protect their own confidential information.
6. No Rights Granted:
No rights or licenses, express or implied, are granted to the Recipient under any patents, copyrights, or other proprietary rights of March Networks.
7. Term:
This Agreement shall remain in effect for a period of five (5) years from the Effective Date.
8. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.
9. Acceptance:
By clicking “Accept,” the Recipient acknowledges that they have read, understood, and agree to be bound by the terms of this Agreement.
